Mr. Luo focuses on both domestic and cross-border transactions including mergers and acquisitions, joint ventures, inbound and outbound investment, development and construction of major projects, private equity, assets management, regulatory and commercial matters. Mr. Luo has extensive experience in providing service to clients from technology, financial industry, renewable energy, manufacturing, real estate, bio-pharmaceutical, etc. Mr. Luo is skilled in deal structuring, performing due diligence investigation, drafting and negotiation of transaction documents. Mr. Luo has been nominated for the IFLR1000 - Rising Star Awards of Year 2022 in the area of “Shanghai: Mergers & Acquisitions”.

Transactions
l Advised ENGIE, a Fortune Global 500 headquartered in France, on its acquisition of the 100% equity interest of 14 distributed rooftop photovoltaic power projects (in a batch) in China;
l Advised ENGIE on its development of 3 photovoltaic power projects in China (greenfield investments);
l Advised Hexie Health Insurance on its RMB 9.06 billion acquisition from SK (a Fortune Global 500) of the 100% equity interest of a WFOE which owns the SK Tower in Beijing;
l Advised Neways (a MNC headquartered in Dutch) on its restructuring of its PRC-related group structure by share-swap transactions;
l Advised a domestic investment company on its acquisition from Sino-Ocean Capital of the 100% equity interest of a WFOE which owns Huamin Empire International Plaza in Chengdu;
l Advised LANDSEA and Zhong Rong Trust on their incorporation of a CO-GP fund and acquisition (through said fund) from HON KWOK LAND (HKEX-listed) of the 100% equity interest of a WFOE which owns a commercial real estate project in Guangzhou;
l Advised LANDSEA and Sunshine Insurance Group on their joint acquisition of the 100% equity interest of a domestic company which held an industrial real estate project in Shanghai;
l Advised ASR (SSE-listed), together with the other PE fund, on their RMB 30 million joint investment in a startup semiconductor enterprise;
l Advised a domestic semiconductor-supply-chain enterprise on its pre-IPO financing;
l Advised a domestic semiconductor enterprise on its pre-A round financing;
l Advised a domestic e-motor manufacturing enterprise on its pre-C round financing;
l Advised a domestic military-industry enterprise on its A round financing;
l Advised a Web 3.0 enterprise (with its operation entity located in Singapore) on its series A financing from several USD funds;
l Advised STIC, a USD private equity fund, and other investors on their US$ 21 million joint investment in an auto parts manufacturer.
Foreign Direct Investment
l Advised SmartGames (EU) on its strategy of entry into Chinese market as well as its cooperation with Chinese partners, including the establishment of its VIE structure;
l Advised TutorGroup on PRC regulatory requirements with respect to its business;
l Advised Bureau Veritas (a leading certification MNC headquartered in France) on its cooperation with (i) a Gansu public institution with respect to a wind power equipment testing/inspection project, and (ii) a state-owned engineering company in respect of submission of joint tender bid in Wenchuan Earthquake Recovery Project;
l Advised various FIEs on their general corporate matters.
Cross-border Dispute Resolution
l Advised a Sino-foreign joint venture in a CIETAC arbitration against a Japanese company in relation to disputes arising out of a sales agent agreement;
l Advised Sinyi Realty (Taiwan) on resolving its disputes with Realogy Group (a leading real estate broker in US) in respect of their joint venture in China;
l Advised STIC in a HKIAC arbitration against a Taiwan-based dental company and its founders with respect to STIC’s exercising its put option right under a private equity investment agreement.
