Cases Related to Financial Institutions

• Represented a well-known domestic bank in a bankruptcy dispute case with a local enterprise in the Supreme People's Court.  In the case of the client’s failure in first and second instance trials, Mr. Guo successfully persuaded the Supreme People's Court to conduct a retrial of the case, ultimately overturning the original judgment, rejecting most of the opposing party's original litigation requests, recovering a direct economic loss of approximately RMB 230 million for the client and completely resolving the dispute.
• Represented a local bank based in Hainan in handling an objection against enforcement case regarding the priority of repayment of deposit funds.  In the case of the client's failure in first instance trial, Mr. Guo successfully persuaded the second instance court to change the first instance judgement and support the client's requests of excluding enforcement by the court on deposit funds, successfully recovering over RMB 50 million economic losses for the client.
• Represented a financial institution in handling an objection against enforcement case related to fund assets, successfully persuading the court to overrule the opposing party’s request to exclude enforcement of fund assets by establishing the client’s priority in recovery of proceeds of such funds.

Cases Related to Private Equity Fund and Equity Financing

• Represented a domestic investment fund in resolving an equity repurchase dispute with a medical health enterprise.  Mr. Guo successfully persuaded the Shenzhen Futian District People's Court to support almost all the client's litigation requests (repayment of principal, interest and penalty, and guarantee liability of the target company), with disputed amount of over RMB 250 million.
• Represented a well-known medical science company in handling shareholder derivative action case.  Mr. Guo successfully assisted the company in handling matters related to equity repurchase and public listing clearance, successfully persuaded the first instance court to reject all litigation requests from the original investors (plaintiffs).
• Represented a well-known domestic CVC fund in handling an arbitration case regarding dispute of value adjustment mechanism.  Mr. Guo successfully persuaded the arbitral tribunal to render an award in favor of the client, and successfully assist the court to preserve and enforce multiple real estate properties of the respondents with a total value of more than RMB 30 million.   
• Represented a well-known private equity investment fund in China in handling a series of dispute cases regarding convertible bond investment agreement, the shareholder contribution obligation, etc.

Cases Related to Commercial Enterprises

• Represented a real estate developer in handling a real estate development cooperation agreement dispute case in the Supreme People's Court.  Mr. Guo successfully persuaded the Supreme People's Court to support all the client's litigation requests in the second instance proceedings, recovering nearly RMB 100 million in direct economic losses for the client.
• Represented a natural person in handling a lawsuit related to a real estate property.  Mr. Guo successfully persuaded the court to revoke the other party's transfer of core assets based on malicious collusion, recovering direct economic losses of approximately RMB 20 million for the client.
• Represented a well-known hotel group in handling hotel management agreement disputes in the China International Economic and Trade Arbitration Commission.  Mr. Guo successfully assisted the client in resovling multiple historical and new arbitration cases, successfully clearing and recovering direct economic losses of approximately RMB 40 million for the client.
• Represented a well-known domestic furniture manufacturer in handling the dispute over trade cooperation agreements with its partners and Cambodian investment companies.  The case involved coordination of complicated matters such as the procedures of courts in Chinese Mainland and Cambodian court.  Mr. Guo successfully assisted the client to obtain a successful judgment in the first instance and coordinated all parties to settle the dispute in the second instance, ultimately successfully assisting the customer to recover most of the lost funds.

• Provided legal consulting services for a well-known US dollar venture capital fund in China, involving issues in connection with limited partner investment, government guided fund.
• Provided legal consulting services for a well-known domestic angel investment fund, involving issues in connection with directors' responsibilities, investment liquidation, and shareholder contributions.
• Provided legal consulting services for a state-owned private equity investment fund, involving issues such as transfer of convertible bond investment, stock pledge, and de-registration of fake shareholders.
